Notice of Proposed Bylaws Amendments

The San Antonio Board of REALTORS® (“SABOR”), at the Bylaws Presentation, to be held on August 13, 2020 at 8:30 a.m. via Zoom, will submit for a vote the following proposed bylaws amendments.

The recommended changes are as follows:

Bylaws Recommendations from SABOR BOD 2019-2020: 

  1. Recommend that the language in the Bylaws Article III: Jurisdiction; Section (1), be amended to remove duplicative language.  The proposed change would be as follows: 

 The territorial jurisdiction of the Board as a Member of the NATIONAL ASSOCIATION OF REALTORS® is: San Antonio and the Counties of: Bexar, Kendall, Karnes, Wilson, Medina, Frio, Atascosa, McMullen, and LaSalle and Kendall, in the State of Texas.  

 

  1. Recommend that the language in the Bylaws Art XI: Officers and Directors; Section (6) Nominations and Election of Directors, related to the membership of the Nominating Committee, be amended to clarify that members of the Nominating Committee shall come from SABOR membership. The proposed change would be as follows: 

…They shall select three members from the current Board of Directors, and six from the general public membership which shall include no more than one Past President/Chairman…  

 

  1. Recommend that the language in the BylawsArt XI: Officers and Directors; Section (6) Nominations and Election of Directors, regarding the confidentiality of the Nominating Committee’s deliberations be amended to clarify that such deliberations always remain confidential. The proposed change would be as follows:  

…Deliberations of the Local Nominating Committee shall remain confidential until results are published to the General Membership…  

 

  1. Recommend that the language in the Bylaws Art XI: Officers and Directors; Section (6) Nominations and Election of Directors, be amended to clarify the date of the General/Annual Membership meeting. The proposed change would be as follows:

…Said petitions must be presented to the President/CEO for verification of signatures no later than 5:00 p.m. fourteen (14) business days before the regular business meeting of the General Membership held in July on or before September 1st. Said “verified” petitions must be presented to the Secretary/Treasurer at the regular business meeting of the General Membership held in July on or before September 1st…  

 

  1. Recommend that the language in the Bylaws Art XII: Meetings; Section (1) Annual Meetings, regarding the date of the General/Annual Membership meeting, be amended to clarify the date of the General/Annual Membership meeting. The proposed change would be as follows:

The annual meeting of the Board shall be held during July on or before September 1st of each year, the date, place, and hour to be designated by the Board of Directors.  

 

  1. Recommend that the language in the Bylaws Art XI: Officers and Directors; Section (6) Nominations and Election of Directors, be amended to clarify the timing in which the Nominating Committee notifies applicants selected to fill open spots on the SABOR Board of Directors. The proposed change would be as follows: 

…Selected Directors shall be notified in writing the day before the General Membership within 3 days of the Nominating Committee’s decision. 

 

  1. Recommend that the language in the BylawsArt XI: Officers and Directors; Section (6) Nominations and Election of Directors, regarding the petition signatures, supporting a candidate running from the floor, be amended to clarify the number of signatures that can come from a single brokerage.  The proposed change would be as follows: 

…If the candidate was considered but not selected by the Local Nominating Committee, petition candidate must file a petition with 5% of the REALTOR® membership (at time of filing) signing said petition. With no more than 10% of the total petition signatures coming from the same brokerage.
